These draft terms describe practical rules for using CellWise during website, waitlist, pilot, and future product operation. They should be reviewed by qualified counsel before production launch.

Service description

  • CellWise provides tools for manufacturing master data creation, validation, CLW formatting, ERP migration preparation, and ongoing master data management.
  • The service may support item masters, BOMs, routing data, BOM explosion testing, VCM history, data quality checks, and deterministic conversion outputs for ERP targets.
  • Supported ERP targets may include SAP, Oracle, Microsoft Dynamics, and custom ERP systems, depending on product scope and customer configuration.

Eligibility and account responsibility

  • You must be authorized to use CellWise on behalf of your organization and to provide any data uploaded to the service.
  • You are responsible for maintaining accurate account information, protecting credentials, and controlling user access within your organization.
  • You are responsible for reviewing outputs before using them in production ERP workflows.

Acceptable use

  • You may use CellWise only for lawful business purposes related to manufacturing data management, ERP migration, validation, and related operations.
  • You may not use CellWise to process data you are not authorized to provide, interfere with the service, bypass security controls, or attempt unauthorized access to another customer's data.
  • You may not use the service to create or distribute harmful code, abusive content, or illegal material.

Customer data ownership

  • Customer data remains owned by the customer or its authorized licensors.
  • CellWise receives the rights needed to host, process, transform, validate, and support customer data only to provide the service and related support.
  • Customers are responsible for the accuracy, legality, and business suitability of data they upload or approve.

No model training on customer production data

  • CellWise does not use customer production data to train AI models.
  • Uploaded master data is used to provide the requested workflow, including parsing, extraction, normalization, review support, validation, CLW formatting, conversion, and support.
  • Any future changes to model training practices would require clear customer-facing terms and appropriate consent or contractual basis.

AI recommendations and deterministic conversion

  • AI recommendations are review aids. They may help parse records, map fields, normalize units, detect missing values, and suggest fixes.
  • AI recommendations are not a substitute for human review, manufacturing judgment, or customer approval.
  • Final CLW to ERP conversion is handled by deterministic, formulaic rules designed to be reproducible and auditable. AI does not perform the final ERP conversion step.

Waitlist and early access

  • CellWise may be offered through waitlist, pilot, beta, or early access programs before general availability.
  • Early access features may change, be incomplete, or be limited to selected customers and use cases.
  • Participation in early access does not guarantee availability of any specific feature, connector, module, price, or timeline.

Fees and paid plans

  • Current packaging and pricing are validation-stage and not finalized.
  • Future paid plans may include migration licenses, master data management subscriptions, monitoring subscriptions, module expansions, consultant licenses, and SDK or API access.
  • Commercial terms, fees, payment schedules, renewals, taxes, and cancellation rights should be defined in an order form or customer agreement.

Intellectual property

  • CellWise and its software, user interface, workflows, documentation, CLW-related product implementation, and service materials are owned by CellWise or its licensors.
  • These terms do not transfer CellWise intellectual property to customers.
  • Customer data remains customer data, subject to the customer data ownership section above.

Disclaimers

  • CellWise is provided on an as-is and as-available basis unless a signed customer agreement says otherwise.
  • CellWise does not guarantee uninterrupted service, error-free outputs, zero downtime, or that every ERP implementation issue will be detected.
  • Customers should test, review, and approve all migration outputs before using them in production systems.

Limitation of liability

  • To the maximum extent permitted by applicable law, CellWise should not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.
  • Any aggregate liability cap should be defined in a signed commercial agreement.
  • Nothing in these draft terms limits liability where such limitation is not permitted by applicable law.

Suspension and termination

  • CellWise may suspend or restrict access if it reasonably believes an account creates security risk, violates acceptable use terms, or may expose CellWise or others to liability.
  • Customers may request account closure or data deletion according to the applicable agreement and retention requirements.
  • Termination terms for paid services should be defined in the relevant order form or customer agreement.

Governing law placeholder

  • The governing law, venue, dispute resolution process, and language priority should be confirmed by counsel before production launch.
  • A future production version may specify Turkish law, another applicable jurisdiction, or separate terms based on customer location.
